Welcome to our AI-powered global accounting platform. These Standard Terms apply when you engage us to provide AI-assisted accounting, bookkeeping, and financial reporting services. By uploading your data or subscribing to our services, you acknowledge that you have read, understood, and agreed to these Terms of Service.

1. Service Scope

We provide automated and human-reviewed financial reporting services powered by our proprietary AI platform. Our international accounting service includes:

• Processing client-submitted data using AI-powered classification tools;

• Generating 4 key Financial Statements:
• Balance Sheet (BS)
• Profit & Loss Statement (P&L)
• Statement of changes in equity (P&L)
• Cashflow Statement

Our services are applicable to clients across multiple jurisdictions and are compatible with commonly accepted frameworks, including:

• IFRS (International Financial Reporting Standards);

• Local GAAP (as specified by the client);

• HKFRS (including SME and PE reporting frameworks).

Note: These services are for accounting and reporting purposes only. They do not constitute an audit, review, or assurance engagement under any auditing standards. For audit engagements, refer to our separate Audit Services Terms.

2. Information Required for Processing

To ensure quality and compliance, clients must submit the following documents:

1. Prior year Financial Statements (TB, BS, P&L, G/L in Excel, if available);

2. Prior year tax return and supporting documentation (if available);

3. Any previous audit reports and adjustments (if applicable);

4. Current period Financial Statements (TB, BS, P&L, G/L in Excel, if available);

5. Bank statements (all accounts relevant to the period);

6. Accounting transaction vouchers;

7. Key commercial contracts (if applicable);

8. Articles of Association or capital structure information (if applicable);

9. Other significant financial documents as reasonably requested.

All files must be uploaded via our secure platform before processing begins.

3. Turnaround Time and Output

Upon receipt of all required documents:

• We will process and generate the 4 financial statements within 1–2 working hours.

• Extensions may apply for large transaction volumes or complex cases.

• Completed statements will be made available for secure download through the client’s user account.

Pricing is determined based on the number of accounting transactions provided:

We believe in transparent service. Each package includes a clearly defined scope, output, and pricing. Clients are encouraged to review service descriptions carefully or contact us prior to purchase if clarification is needed.

3. Ethical & Professional Standards
We operate under internationally recognized principles of professional ethics, including integrity, objectivity, and competence. Our reports are generated by AI but reviewed by qualified accounting professionals to ensure quality and compliance.

By using our services, you agree to:

• Provide accurate, complete, and lawful financial documents;

• Ensure all required materials are submitted in a timely and organized manner;

• Clearly indicate your desired accounting framework (e.g., IFRS, HKFRS, US GAAP);

• Review the final reports before using them for tax, financing, or statutory purposes.

We are not liable for errors or delays arising from incomplete or inconsistent documentation.

Accuracy and Legality of Information
You agree that all documents and information provided to us are complete, lawful, and genuine. You shall bear full responsibility for any consequences, losses, or regulatory issues arising from submission of incomplete, inaccurate, or illegal data.

Additional Costs for Non-compliance
If failure to provide accurate or complete information leads to extended processing time, the need for on-site verification or stocktaking, or any deviation from the standard engagement scope, your company will be liable for additional costs incurred beyond our original quotation.

Finalization of Accounting Records
All records provided must be final and account-closed. If any material changes or revisions are submitted after work has commenced, related additional effort will be billed in accordance with our engagement terms.

Non-Refund Policy
All service fees are non-refundable once processing has begun, regardless of changes in client decision or delays caused by the client’s documentation.

No Audit or Legal Guarantee (Unless Engaged Separately)
Unless otherwise specified in a signed audit engagement, our services do not constitute a statutory audit, legal opinion, or tax advisory. The reports produced are intended for general accounting and management purposes.

Right to Refuse or Suspend Service
We reserve the right to refuse or suspend services if there is reasonable suspicion of fraud, abuse, or failure to comply with these terms.

Indemnity Clause
You agree to indemnify and hold harmless our company, employees, and affiliates against any claim, liability, or cost arising from your breach of these terms or misuse of our deliverables.

Force Majeure
We are not responsible for any delay or failure in performance caused by events beyond our control, including but not limited to system outages, regulatory changes, or natural disasters.

• Clients acknowledge that final accuracy is subject to review and approval based on the quality of input data.

8. Confidentiality and Data Security

We treat all submitted data with strict confidentiality:

• Your information is stored securely and handled in accordance with our Privacy and Data Protection Policies;

• Data will not be shared externally without consent, except where required by law;

• Anonymized trends and performance data may be used to improve our AI model, but will never include identifiable information.

9. Limitations of Service and Liability

These services do not include tax advisory, audit assurance, or legal opinions. To the extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages arising from the use of our services;

• Direct liability for any claim shall be limited to the amount paid for the specific service;

• All claims must be submitted in writing within 12 months of the service date.

10. Governing Law

Unless otherwise agreed in writing, these Terms are governed by the laws of Hong Kong:

By submitting your documents, initiating payment, or using our system, you confirm that:

• You are authorized to act on behalf of the client entity;

CPA., a Hong Kong-based CPA firm with over 30 years of professional practice, as your independent auditor to conduct a statutory audit of your company’s financial statements for the specified accounting period under the laws and standards of Hong Kong.

All audit reports are prepared using our proprietary AI-assisted platform and reviewed by licensed auditors in accordance with professional auditing standards.

1. Engagement Scope

You are engaging us to audit your financial statements for the relevant financial year. The audit will be conducted in accordance with the Hong Kong Standards on Auditing (HKSAs) issued by the Hong Kong Institute of Certified Public Accountants (HKICPA). 4. Appointment Confirmation

By uploading your accounting records and accepting the applicable audit fee, you acknowledge that:

• You have reviewed and accepted the scope and indicative pricing of our audit services;

• You formally appoint LSW CPA & Co. as the statutory auditor of your company for the specified accounting year;

• A formal Audit Engagement Letter will be issued for your signature before we begin any fieldwork or audit procedures. This letter will confirm the reporting framework, auditing standards, and the responsibilities of both parties.

5. Client Responsibilities

As a company director or authorized representative, you are responsible for:

• Preparing complete financial statements and maintaining adequate accounting records;

• Ensuring compliance with eligibility rules under the Companies Ordinance (Cap. 622) regarding audit exemption (if applicable);

• Providing access to complete, lawful, and accurate records, and facilitating personnel access;

• Informing us of any material events or changes in your books after submission.

6. Auditor Responsibilities

We will:

• Plan and perform the audit to obtain reasonable assurance that the financial statements are free from material misstatement;

• Issue an audit report in accordance with HKSAs (or ISAs if mutually agreed);

• Conduct risk assessments, perform testing, and consider internal controls where appropriate.

No assurance will be provided outside the agreed audit scope unless separately arranged.

7. Use of AI Technology

Our audit service integrates AI-powered tools to assist in the initial analysis of uploaded data. However, all audit judgments, procedures, and reports are finalized by qualified professional auditors to ensure full compliance with applicable standards and ethics.

8. Fee Adjustments

The quoted fees apply assuming complete and accurate accounting records are provided. Additional fees may be charged in the following situations:

9. Engagement Letter and Agreement

You bear full responsibility for any consequences, losses, or regulatory issues arising from the submission of incomplete, inaccurate, or illegal data. This includes any penalties or compliance issues under the Companies Ordinance (Cap. 622) or other applicable Hong Kong regulations.

• Additional Fees for Non-Compliance or Incomplete Records
If incomplete, inconsistent, or inaccurate records result in additional audit procedures, extended processing time, on-site verification, or deviations from the agreed scope, you will be liable for additional fees. Such fees will be determined based on the complexity of the issue and communicated in accordance with the terms outlined in the Audit Engagement Letter.

• Finalization of Accounting Records
All accounting records submitted for audit must be finalized and account-closed prior to the commencement of audit procedures. Any material revisions, amendments, or additional submissions made after audit work begins may result in additional fees, as outlined in Section 8 (Fee Adjustments) of the Standard Terms of Audit Services.

• Non-Refundable Fees
All audit fees, as outlined in Section 3 (Audit Pricing), are non-refundable once audit procedures have commenced, regardless of changes in client decisions, delays caused by incomplete documentation, or other client-related factors.

• Scope of Assurance and Excluded Services
The statutory audit, as outlined in Section 1 (Engagement Scope), is an assurance engagement conducted to express an independent opinion on whether your financial statements are prepared, in all material respects, in accordance with the applicable financial reporting framework (e.g., HKFRS, SME-FRS, or IFRS) and in compliance with Hong Kong Standards on Auditing (HKSAs) or International Standards on Auditing (ISAs), as agreed. Unless explicitly specified in the Audit Engagement Letter, our services do not extend to additional assurance engagements (e.g., agreed-upon procedures under HKRS 4400), legal opinions, tax advisory, or other advisory services, which require separate engagement terms.

• Right to Refuse or Suspend Services
LSW & Co. CPA., reserves the right to refuse or suspend audit services if there is reasonable suspicion of fraud, misrepresentation, or non-compliance with these terms, applicable Hong Kong laws, or professional auditing standards (HKSAs or ISAs, as applicable). Any suspension will be communicated in writing, and additional costs incurred up to that point will remain billable.

• Indemnity
You agree to indemnify and hold harmless LSW & Co. CPA., its employees, affiliates, and subcontractors from any claims, liabilities, or costs (including legal fees) arising from your breach of these terms, submission of inaccurate or unlawful data, or misuse of the audit report or deliverables.

• Force Majeure
LSW & Co. CPA.shall not be liable for delays or failures in performing audit services due to events beyond our reasonable control, including but not limited to system outages, disruptions in our AI-powered platform, regulatory changes, or natural disasters. We will notify you promptly of any such events and work to mitigate delays.

• Use of AI Technology
As noted in Section 7 (Use of AI Technology), our AI-powered tools are used to assist in the initial analysis of uploaded data. While these tools enhance efficiency, all audit judgments, procedures, and final reports are performed and reviewed by qualified professional auditors in compliance with Hong Kong Standards on Auditing (HKSAs) or International Standards on Auditing (ISAs), as agreed. You acknowledge that reliance on AI-assisted processes does not diminish your responsibility to provide accurate and complete records.

• Governing Law
These disclaimer terms, in conjunction with the Standard Terms of Audit Services, are governed by the laws of the Hong Kong Special Administrative Region (HKSAR). Any disputes arising from these terms shall be resolved in accordance with Hong Kong law.

Disputes will be resolved in the courts of that jurisdiction.

12. Disclaimer and Client Acknowledgement

• A. Accuracy and Legality of Client-Provided Information You confirm that all financial data, statements, and records provided are complete, accurate, lawful, and genuine. You bear full responsibility for losses, regulatory issues, or inaccuracies arising from incomplete, incorrect, or non-compliant data. This includes penalties under applicable laws (e.g., Hong Kong Companies Ordinance).

• B. Fees for Additional Work If incomplete/inconsistent data necessitates extra analysis, rework, or delays beyond the standard scope, additional fees will apply. These fees reflect the complexity of the request and will be communicated per Section 7 (Fees and Payment).

• C. Non-Refundable Fees All fees are non-refundable once report processing begins (e.g., after data submission and payment), regardless of client delays, data revisions, or changed decisions.

• D. Nature of Service and Limitations Reports are advisory and informational, not audit opinions, valuations, or investment advice (as stated in Section 4).
Services exclude legal, tax, or assurance engagements (e.g., formal due diligence), which require separate agreements.

• E. Right to Refuse or Suspend Services We reserve the right to refuse or suspend services if:
1. There is reasonable suspicion of fraud, misrepresentation, or illegal activity;
2. Client data breaches these terms or applicable laws.
Any suspension will be notified in writing, and fees for work completed remain payable.

• F. Indemnity You agree to indemnify and hold harmless our company, affiliates, and personnel against claims, costs (including legal fees), or liabilities arising from: 1. Your breach of these terms;
2. Submission of inaccurate/unlawful data;
3. Misuse of reports or deliverables.

• G. AI Technology and Human Oversight
While AI tools enhance analysis efficiency (Section 5), all insights and commentary are reviewed by qualified professionals. You acknowledge that AI-assisted processes do not negate your duty to provide accurate data.

• H. Governing Law
These terms are governed by Hong Kong law. Disputes shall be resolved in Hong Kong courts (per Section 11).

Scope of Service

Our ESG reporting services offer AI-powered, data-driven reports that integrate financial results with environmental, social, and governance (ESG) metrics. Reports may include:

ESG-Integrated Profit & Loss (P/L) Statements
Scope 1 and Scope 2 Carbon Emissions Disclosures
Resource Intensity Metrics (Energy, Water, Waste)
ESG-adjusted financial performance indicators
KPI alignment with:

Global Reporting Initiative (GRI)
SASB, TCFD, ISSB standards
HKEX ESG Reporting Guide
Any local or industry-specific frameworks, to be provided

These reports are advisory in nature and intended to support sustainability disclosures, internal performance reviews, and investor communications.

Note: This is not an assurance engagement under auditing standards. If assurance or verification is required (e.g., limited or reasonable assurance under ISAE 3000), a separate agreement will be arranged.

Client Responsibilities

To enable accurate ESG and Carbon Reporting, you agree to:

Provide all requested operational and environmental data, including energy, emissions, water, waste, HR, and governance data;
Ensure the data is complete, accurate, and current;
Designate a responsible contact person or ESG officer to coordinate with our team;
Disclose any material changes to your operations or relevant data sources during the engagement period.

Failure to provide accurate or complete data may result in limitations in reporting scope, delayed delivery, or additional charges.

Delivery Process

Our engagement includes:

Initial scoping based on your business sector, compliance obligations, and available data;
AI-supported analysis and benchmarking across key ESG and financial KPIs;
Preparation and delivery of ESG-integrated financial reports in PDF or editable formats;
Online dashboards or real-time monitoring interfaces (Optional)( available under specific plans);
A final call or walkthrough to review insights and client queries.

Typical turnaround time is from full data submission, subject to scope and complexity.

Technology and Platform Use

Our ESG reporting solutions are powered by our proprietary AI system, which automates:

ESG data processing and classification;
Carbon footprint calculations using recognized emission factors;
ESG financial integration and ratio analysis.

All client data is processed securely stored on encrypted servers. We reserve the right to enhance our models or analytics engine during the term to maintain compliance with evolving standards.

Fees and Charges

Fees are determined based on:

Business size and reporting scope (e.g., number of sites or facilities);
The ESG frameworks selected (e.g., GRI vs HKEX only);
Whether real-time tracking or dashboard access is included.

All fees will be agreed in advance and invoiced according to the proposal or service plan. Additional charges may apply in cases of:

Substantial changes in scope or requested revisions post-delivery;
Late data submissions or repeated resubmissions;
Site-specific analyses or physical visits (if requested).

Disclaimer and Client Acknowledgement

To ensure compliance and transparency in our AI-powered ESG reporting services:

A. Data Accuracy & Legality

You confirm all provided operational/environmental data is complete, accurate, and lawful. You bear full responsibility for regulatory penalties or reputational damage arising from non-compliant data (e.g., under HKEX ESG Guide, environmental laws).

B. Additional Fees

Extra charges apply when:

- Late submissions or data resubmissions occur

- Material operational changes require rework

- On-site verification is requested (per Section 5)

C. Non-Refundable Fees

All fees are final once data processing commences (after full submission + payment).

D. Nature of Service

- Reports are advisory tools only – not assurance engagements (ISAE 3000), carbon certifications, or legal opinions

- Outputs rely on client-provided data + global benchmarks (clearly noted in footnotes)

- No liability for third-party consequences from incomplete data

E. Service Refusal Rights

We may suspend services for:

Suspected fraud or material misrepresentation
Breach of environmental regulations
Non-payment of additional fees

Written notice will be provided; completed work remains payable.

F. Indemnity

You agree to cover all claims/costs arising from:

- Breach of these terms

- Inaccurate data submissions

- Unauthorized report distribution

- Regulatory non-compliance

G. AI Technology

While AI automates calculations (Section 4), all frameworks alignment and insights are human-reviewed. AI limitations don't override your data accuracy obligations.

H. Governing Law

Hong Kong law applies (per Section 9). Disputes resolved exclusively in Hong Kong courts.

Confidentiality

We treat all client information and sustainability data as strictly confidential. Such data will only be used to perform the agreed engagement and will not be disclosed to third parties unless:

Required by law or regulation;
Authorized by the client in writing;
Necessary for professional advice or subcontractor execution under similar confidentiality terms.

Intellectual Property

Unless otherwise agreed:

The methodology and AI technology used to generate reports remain the intellectual property of AI Chopstickspig Dynamic Limited;
You are granted a non-exclusive, non-transferable license to use the deliverables for internal or compliance reporting only;
You may not distribute or modify our templates or AI-generated analytics for resale or external publishing without written consent.

Governing Law

These terms are governed by the laws of the Hong Kong Special Administrative Region. Disputes shall be resolved by the courts of Hong Kong unless otherwise agreed in writing.

By submitting data, you confirm:

Authorization to represent the entity
Understanding of these terms (including Section 6 disclaimer)
Acceptance of AI's role and service limitations

By purchasing the Fully Automated Financial System services, you agree to the following terms and conditions.

Scope of Service
The platform automatically generates the four key financial statements (Profit & Loss, Balance Sheet, Cash Flow Statement, and Statement of Changes in Equity) and provides real-time, compliant financial management tools. Services may include:

Automated transaction processing and reconciliation
AI-powered financial analysis and reporting
Integration with supported banking, payment, and accounting systems
On-chain and off-chain asset tracking and reconciliation

Application Scenarios include but are not limited to:

Real-World Asset (RWA) Accounting – Full lifecycle accounting for tokenized or digital representations of real-world assets
Stablecoin & Cryptocurrency Asset Tracking – Valuation, gain/loss reporting, and movement tracking for stablecoins and other digital assets
Digital Currency Financial Reporting – Period-end financial statements incorporating fiat and digital currency balances
On-Chain/Off-Chain Reconciliation – Automated reconciliation between blockchain ledger data and traditional accounting records

These outputs are advisory tools to support financial management and compliance. They are not audits, assurance engagements, or legal opinions.

Client Authorization & Responsibilities
You authorize the service provider to:

Access, connect to, and configure your accounting and finance system(s), including relevant databases, APIs, and cloud services finance settings;
Retrieve, process, and store necessary financial and operational data for the purposes of delivering the services.

You agree to:

Provide complete, accurate, and lawful financial data;
Maintain active system access for the duration of the service;
Notify of any material changes to your operations, system configuration, or financial data sources.

Data Security & Confidentiality
All client data is securely processed and stored on encrypted servers. Data will not be shared with third parties except:

Where required by law or regulation;
Where authorized by you in writing;
Where necessary for subcontractor execution under equivalent confidentiality terms.

Fees & Payment
All fees are negotiable and as stated on the purchase page . Once data processing has commenced, fees are non-refundable. Additional fees may apply for:

Significant scope changes after purchase;
Late data provision or repeated resubmissions;
Custom integrations or additional support requests.

Intellectual Property
Unless otherwise agreed in writing:

All methodologies, algorithms, AI models, platform code, proprietary processes, templates, and generated analytics used to deliver the services remain the sole intellectual property of the service provider;
Deliverables provided to you are for your organization’s use in connection with the purchased services and may not be copied, distributed, resold, sublicensed, modified, or used for any external commercial purpose without prior written consent;
All rights, title, and interest in and to the platform, its outputs, and related materials are expressly reserved.

Indemnity
You agree to fully indemnify, defend, and hold harmless the service provider, its affiliates, officers, employees, and contractors from and against all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

Any breach of these terms;
Inaccurate, incomplete, unlawful, or misleading data provided by you;
Unauthorized access to or misuse of the platform or deliverables;
Regulatory penalties, tax assessments, or legal actions resulting from the use of the services or deliverables;
Third-party claims relating to your business activities or financial data.

This obligation survives the termination or expiration of the agreement.

Disclaimers & Liability

You are solely responsible for the accuracy and legality of your data.
The service provider is not liable for regulatory penalties, losses, or damages arising from inaccurate or incomplete data.
While AI automates processing, results are dependent on the data you provide.

Governing Law
These terms are governed by the laws of the Hong Kong Special Administrative Region. Disputes shall be resolved exclusively in the courts of Hong Kong.
